HiTalk (hereinafter referred to as "HiTalk", "we", "our") provides its services (described below) to you through mobile applications and related services (collectively, the Services, including any new features and applications, and this website, hereinafter referred to as the "Service"), subject to the following Terms of Service (the "Terms of Service" as amended from time to time). We reserve the right to change or modify these Terms of Service at any time in our sole discretion. If we make changes, we will post the changes on this page and indicate at the top of this page the date these terms were last revised. We will also notify you through the "Service" user interface, email notification or other reasonable means. Any such changes will be effective no more than seven (7) days after being posted, except that changes to new features of the Service or changes made for legal reasons will be effective immediately. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms of Service. If you do not agree to be bound by these or any future Terms of Service, please do not use or access (or continue to use or access) the Service. It is your responsibility to check the Website periodically to determine whether these Terms of Service have changed and to review such changes.

In addition, when using certain Services, you shall be subject to any additional terms applicable to such Services that may be posted from time to time on the Services, including, without limitation, the Privacy Policy, all of which are hereby incorporated by reference into these Terms of Service.

Accessing and using the Services

Description of Service: The HiTalk Service is designed to allow users to learn and practice languages, meet other members from around the world, and other features from the mobile application and/or website.

Your registration obligations: You may need to register with HiTalk to access and use certain features of the Service. If you choose to register for the Service, you agree to provide and maintain true, accurate, current and complete information about yourself as prompted by the Service registration form. Registration data and certain other information about you are subject to our Privacy Policy. If you are under 18 years of age, whether registered or not, you may use the Service only with the consent of your parent or guardian.

Member Account, Password and Security: You will maintain the confidentiality of your password, if any, and you are fully responsible for any and all activities that occur under your password or account.

You agree to immediately notify HiTalk of any unauthorized use of your password or account or any other breach of security, and ensure that you log out or lock your account at the end of each session of accessing the Service, and protect the password used to access the Service device. HiTalk is not responsible for any loss or damage caused by your failure to comply with the provisions of this section.

Modifications to the Service: HiTalk reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) without notice. You agree that HiTalk shall not be liable to you or any third party for any modification, suspension or discontinuance of the Service.

General practices regarding use and storage: You acknowledge that HiTalk may establish general practices and limits regarding use of the Services, including, but not limited to, the maximum period of time that the Services will retain data or other content and the maximum storage space allocated on HiTalk servers on your behalf. You agree that HiTalk is not responsible for the deletion or failure to store any data or other content resulting from maintenance or transmission of the Services. You acknowledge that HiTalk reserves the right to terminate accounts that are inactive for an extended period of time. You further acknowledge that HiTalk reserves the right to change these general practices and limits at any time, at its sole discretion, without notice.

Mobile Services: The Services include certain services that may be used through mobile devices, including the ability to browse the Services and Sites from a mobile device and the ability to access certain features by downloading and installing their applications on a mobile device (collectively, the "Mobile Services"). To the extent you access the Services through a mobile device, your wireless service carrier's standard fees, data rates, and other charges may apply. In addition, carriers may prohibit or restrict the downloading, installation or use of certain Mobile Services, and not all Mobile Services may work with all carriers or devices.

Conditions of Use

Your rights and rights to content: Some of the content you share or upload (such as photos) may be protected by intellectual property laws. For any such content you create and share in HiTalk, the intellectual property rights belong to you, such as copyright or trademark rights. Nothing in this article will deprive you of the rights you have in your own content. You can share your content with anyone else anywhere as you wish. However, in order to provide our services, we need you to grant certain legal permissions (called "licenses") to use these contents. These permissions will only be used to provide and improve our products and services. Specifically, when you share, publish or upload content protected by intellectual property rights in or in connection with our products, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, global universal license to allow us to host, use, distribute, modify, run, copy, publicly perform, publicly display or translate your content in accordance with your privacy and application settings, and to create derivative works of such content. This means, for example, if you share photos in HiTalk, you grant us permission to store, copy and share such photos with other parties (such as service providers that support the HiTalk services or other HiTalk products you use) in accordance with your settings. This license will terminate when your content is deleted from our system. You can delete content on a case-by-case basis, and once you delete content, it will no longer be visible to other users.

User Conduct: You are solely responsible for all information, data, text, software, music, sound, photos, graphics, video, messages or other materials (hereinafter referred to as "Content") that you upload, post, publish or display (hereinafter referred to as "Postings") or email or otherwise transmit through the "Service". The following are examples of illegal or prohibited content and/or types of use by HiTalk. HiTalk has the right to investigate violations of this provision and take appropriate legal action against anyone at its sole discretion, including but not limited to removing the problematic content from the Service, suspending or terminating the accounts of such violators and reporting to law enforcement agencies. You agree not to use the Service to post, email or otherwise transmit any of the following:

1. is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, sexual, pornographic, invasive of another's privacy, or hateful on a racial, ethnic, or other basis;

2. Infringe any intellectual property or other proprietary rights of any party;

3. constitute unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, "junk mail," "spam," "chain letters," "pyramid schemes," "contests," "gambling," or any other form of solicitation;

4. Contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software, hardware or telecommunications equipment;

5. According to HiTalk's own judgment, it is objectionable or restricts or prohibits any other person from using or enjoying the service, or may cause HiTalk or its users to suffer any form of harm or disadvantage;

6. Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with such person or entity;

7. Solicit personal information from anyone under the age of 18;

8. Harvest or collect email addresses or other contact information of other users from the Service or the Website by electronic or other means for the purpose of sending unsolicited emails or other unsolicited communications;

9. Advertising/marketing products or services, or personal homepages, social accounts or contact information, or soliciting donations/contributions and any form of solicitation, as well as repetitive posts without any useful value or in violation of our community guidelines;

10. Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;

11. or violate any applicable local, state, national or international law or any regulations having the force of law;

12. Further or promote any criminal activity or enterprise, or provide instructional information regarding illegal activities;

13. Or obtain or attempt to access or otherwise obtain any materials or information through any means not intended to be made available or provided through the Services.

Account Information Verification: To make your experience as authentic as possible and to help ensure that all of our users are interacting with real people, we may ask you to confirm your identity by verifying your email address or mobile phone number. We do not recommend that you open multiple accounts, especially when you log in to our applications, and data cannot be merged or shared between two or more accounts. If we discover that you have previously registered through any of our applications and your original or older account has been permanently deactivated for violating these Terms of Service, we also reserve the right to deny your new account permanent use.

Safety: To maintain a safe environment and promote free speech, we will remove accounts that harm the community, including accounts that endanger the security of other accounts and our services. We use a combination of automatic and manual systems to block and remove accounts that repeatedly or seriously violate our community guidelines. We want to ensure that users see real content on HiTalk. We firmly believe that authenticity helps create a better sharing environment. Therefore, we do not allow HiTalk users to conceal their true identity or behavior.

In some cases, we will first obtain more information about the account before taking enforcement action, ranging from temporary restrictions to permanent suspension of the account. Accounts with false identities, including:

1. Provide any false personal information or create an account for anyone other than yourself without permission.

2. Use a name, ID, nickname, or signature that does not comply with our policies.

3. Use avatars that do not comply with our policies, including but not limited to company logos, photos of politicians or influencers.

4. Providing a false date of birth, incorrect nationality or native language information.

5. Create an account that represents or is used by multiple people.

6. A user maintains multiple accounts at the same time.

7. Stolen accounts.

8. Empty accounts that have not been used for a long time.

9. Use multiple HiTalk accounts.

10. Using the HiTalk reporting system to harass others in violation of regulations.

11. Mislead users as to the owner or controller of a personal homepage and conceal the true purpose of the homepage.

Fees: You acknowledge that HiTalk reserves the right to charge for any part of the Service and to change its fees (if any) from time to time at its discretion. You agree to pay all fees when due in accordance with the terms set forth on the Website.

Payment for Services: HiTalk offers certain enhanced features for which you can purchase these Services under various terms, including, but not limited to, three-month, one-year, monthly auto-renewal, annual auto-renewal, and lifetime subscriptions (“Subscriptions”). Descriptions of Subscription-related features are available through the Services. Before you place an order, you will be shown the amount due for the subscription you purchase through the Services. If you choose to purchase a Subscription through the Services, you agree to (1) pay the applicable fees and any taxes; (2) if you purchase through the Site, HiTalk may charge your credit card for verification, pre-authorization, and payment purposes, and charge your account through the App Store or distribution platform (e.g., Apple App Store, Google Play, WeChat, Alipay) on which the App is provided (each, an “App Provider”); and (3) be responsible for any other fees that may be imposed on you by your App Provider, bank or other financial service provider, and any taxes that may apply to your order. You will receive a confirmation email after we confirm payment for your order. Your order is not binding on HiTalk until it is accepted and confirmed by HiTalk. Except as expressly provided in these Terms, all payments are non-refundable and non-transferable.

Renewal and Cancellation of Subscriptions: All amounts are due and charged: (1) for one-time purchases (i.e., lifetime subscriptions) when you place your order; and (2) for monthly, annual, or other automatically recurring subscriptions, each such subscription automatically renews for additional periods equal to the expiring subscription term until you cancel your subscription. You must cancel your monthly or annual subscription prior to renewal to avoid being billed for the next subscription period. If you purchased your subscription through the Website, you may cancel the renewal of your subscription at any time by contacting us via email at service@hitalk123.com. If you purchased your subscription through an application provider, you may cancel the renewal of your subscription through the application provider. You will not be able to receive a refund for fees paid for the then-current subscription period, and you will continue to receive the ordered services until the end of the then-current subscription period.

If you have any questions or objections to charges, you agree to raise them with us first, or agree not to cancel or deny any credit card or application provider charges unless you have made reasonable attempts to resolve the issue directly with HiTalk.

HiTalk reserves the right not to process or cancel your order in certain circumstances, such as if your credit card is declined, we suspect the request or order is fraudulent, or in other circumstances HiTalk deems appropriate in its sole discretion.

HiTalk also reserves the right, at its sole discretion, to take steps to verify your identity in connection with your order. HiTalk will not charge you or refund you for orders that we do not process or cancel.

Refunds: Generally, no refunds are available without reason. All purchases are non-refundable, and no refunds or credits will be given for incomplete periods. Purchases through this service are non-refundable once confirmed. You understand and acknowledge that HiTalk does not provide refunds for any reason, and when an account is closed, you will not receive compensation in the form of money or other forms for unused VIP membership time, regardless of whether the account closure is active or passive. However, if HiTalk stops providing services or changes its business model, you will be entitled to a refund on a pro-rata basis. If a refund is initiated for personal reasons, the payment platform's handling fee and an additional 15% handling fee will be deducted.

To request a refund: If you purchased using your Apple ID, the refund will be processed by Apple, not HiTalk. To request a refund, go to the App Store, click your Apple ID, select "Purchase History", find the transaction and click "Report a Problem". You can also submit a request at https://getsupport.apple.com.

If you purchased using Google Play Store, WeChat or Alipay: Please send a message to HiTalk Team in the app or contact the customer support team by emailing service@hitalk123.com and provide your order number (Google Play Store can find the order number in the order confirmation email or by logging into Google Wallet; WeChat can find the order number in WeChat Service-Wallet-Bill; Alipay can find the order number in Alipay Bill). We will refund you using the same payment method you used for the initial transaction. Please note that refunds may incur third-party platform fees, taxes and other manual financial costs, and the actual refund amount is subject to the agreed price.

Apple-supported software applications

The software applications provided by HiTalk are intended to be used in conjunction with products sold on the market by companies such as Apple Inc. ("Apple"). For software provided to you in connection with Apple-branded products (e.g., software, Apple-supported software), in addition to the other terms and conditions set forth in these Terms of Service, the following terms and conditions apply:

1. HiTalk and you acknowledge that these Terms of Service are concluded only between HiTalk and you (not between HiTalk and Apple), and between HiTalk and Apple, HiTalk, not Apple, is solely responsible for enabling Apple's software and its content.

2. You may not in any way violate or breach the usage rules for the Apple Support Software set forth in the App Store Terms of Service, or otherwise conflict with the Apple Store Terms of Service.

3. Pursuant to the usage rules set forth in the App Store Terms of Service, your license to use the Apple Support Software is limited to a non-transferable license to use the Apple Support Software on an iOS product that you own or control.

4. Apple has no obligation whatsoever to provide any maintenance or support services with respect to the Apple-enabled software.

5. Apple assumes no responsibility for any product warranty (whether express or implied by law). If the Apple-supported software fails to comply with any applicable warranty terms, you can notify Apple and Apple will refund the purchase price of the Apple-supported software to you; and to the maximum extent permitted by applicable law, Apple will not assume any other warranty obligations for the Apple-supported software or any other claims, losses, liabilities, damages, costs or expenses caused by non-compliance with any provisions. This is only the responsibility of HiTalk to the extent that it cannot be denied by applicable law.

6. HiTalk and you acknowledge that HiTalk, not Apple, is responsible for addressing any claims you or any third party may have relating to the Apple-supported software or your possession and/or use of the Apple-supported software, including but not limited to: (a) product liability claims; (b) any claim that the Apple-supported software fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection or similar legislation.

7. If any third party claims that the Apple-supported software or the end user's possession and use of the Apple-supported software infringes the third party's intellectual property rights, for example, as between HiTalk and Apple, HiTalk, not Apple, is solely responsible for investigating, defending, resolving and discharging any such intellectual property infringement claims.

8. If you have any questions, complaints, or claims regarding Apple-supported software, please send them directly to HiTalk at service@hitalk123.com.

HiTalk and you acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms of Service with respect to the Apple Support Software, and that, upon your acceptance of these Terms and Conditions of Service, Apple, as a third-party beneficiary of the Apple Support Software, will have the right (and will be deemed to have accepted the right) to enforce these Terms of Service against you.

Special Notice for International Use; Export Controls: Software (defined below) used in connection with the Service and the transmission of applicable data, if any, is subject to U.S. export controls. Software may not be downloaded from the Service or otherwise exported or re-exported in violation of U.S. export laws. You download or use the Software at your own risk. Recognizing the global nature of the Internet, you agree to comply with all local laws regarding your use of the Service, including laws and regulations regarding online conduct and acceptable content.

Commercial Use: Unless otherwise expressly authorized in this Agreement or the Service, you agree not to display, distribute, license, perform, publish, reproduce, copy, copy, create derivative works from, modify for commercial purposes, sell, resell, exploit, transfer or transmit any part of the Service, use of the Service or access to the Service. The Service is for your personal use only and may not be used for direct commercial activities.

Service Content, Software and Trademarks: You acknowledge and agree that the Service may contain content protected by copyright, patent, trademark, trade secret or other proprietary rights and laws ("Service Content"). Unless expressly authorized by HiTalk, you agree not to modify, copy, frame, download, rent, lease, loan, sell, distribute or create derivative works based on the Service or Service Content in whole or in part, except as expressly authorized by HiTalk. The above provisions do not apply to your own User Content (defined below) that you legally upload to the Service. When using the Service, you may not engage in or use any data mining, robots, crawling or similar data collection or extraction methods. Except as expressly authorized herein, any use of the Site or Service Content is strictly prohibited. The technology and software distributed under or in connection with the Service are the property of HiTalk, our affiliated institutions and partners ("Software"). You agree not to copy, modify, create derivative works, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense or otherwise transfer any rights in the Software. HiTalk reserves any rights not expressly granted herein.

The HiTalk name and logo are trademarks and service marks of HiTalk (collectively, the "HiTalk Marks"). Other company, product, and service names and logos used and displayed through the Service may be trademarks or service marks of their respective owners, who may or may not be endorsed by or affiliated with HiTalk. Nothing in these Terms of Service or in the Service should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any HiTalk Mark displayed on the Service without our prior written permission. All goodwill generated by the use of the HiTalk Marks will inure to our exclusive benefit.

Third-party materials: In no event shall HiTalk be liable for any content posted by third parties or at the direction of users, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of content posted through the Service, emailed or otherwise transmitted through the Service. You acknowledge that HiTalk does not pre-screen content, but that HiTalk and its designees shall have the right (but not the obligation) in their sole discretion to refuse or remove any content that is available through the Service. Without limiting the foregoing, HiTalk and its designees shall have the right to remove any content that violates these Terms of Service or is otherwise objectionable in HiTalk's sole discretion. You agree that you must evaluate and bear all risks associated with the use of any content, including as to the accuracy, completeness or usefulness of such content.

User Content Posted on or Through the Service: You are solely responsible for the content and other materials you post on or through the Service or Site, transmit or share with other users or recipients (collectively, "User Content"). You will not post any content that you did not create or for which you do not own ownership, title and interest, including, without limitation, all copyright and publicity rights contained therein. By posting any User Content, you hereby grant and agree to grant HiTalk and its affiliates a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, irrevocable license to copy, display, transmit, perform, distribute, store, modify and use your User Content in connection with the operation or promotion, advertising or marketing of the Service in any form, including media or technology now known or later developed.

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site or Services (collectively, “Submissions”) provided by you to HiTalk are non-confidential and HiTalk shall be entitled to unrestricted use and dissemination of such Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

Third Party Websites

The Services may provide, or third parties may provide, links or other access to other sites and resources on the Internet. HiTalk has no control over such sites and resources, and HiTalk is not responsible for and does not endorse such sites and resources. You further acknowledge and agree that HiTalk shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any content, events, goods or services available on any third-party website or Service. Any transactions you enter into with third parties while using the Services are between you and the third party, and you agree that HiTalk shall not be responsible or liable for any loss or claim you may incur against any such third party.

Third-party services

You can enable various online services to be integrated directly into your HiTalk experience. By integrating these services directly into the Services, we make your online experience richer and more personalized. In order to take advantage of these features, we may ask you to register or log in at the website of such providers. By enabling third-party services in the HiTalk Service, you allow us to pass your login information to these service providers. For more information on the implications of activating these third-party services and HiTalk's use, storage, and disclosure of information about you and your use of such services in HiTalk (including your friend lists, etc.), please refer to our Privacy Policy. However, please remember that the way third-party services use, store, and disclose your information is subject only to the third-party policies, and HiTalk is not responsible for the privacy practices or other actions of any third-party site or service that may be enabled in your HiTalk Service.

Furthermore, HiTalk is not responsible for the accuracy, availability or reliability of any information, content, goods, data, opinions, advice or statements made in connection with third-party services. Accordingly, HiTalk assumes no liability for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such third-party services. HiTalk enables these features only for convenience, and their inclusion does not imply an endorsement or recommendation.

Indemnification and Release

You agree to indemnify and release HiTalk and its affiliates and their officers, employees, directors and agents from any and all losses, damages, expenses, including reasonable attorneys' fees, rights, claims, actions and injuries of any kind (including death) arising from your use of the Service, any User Content, your connection to the Service, your violation of these Terms of Service or your violation of the rights of others.

Disclaimer

YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. HiTalk EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. HiTalk MAKES NO WARRANTY THAT (a) THE SERVICE WILL MEET YOUR REQUIREMENTS, (b) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, (c) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR (d) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

Limitation of liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT HITALK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES OR LOSS OF PROFITS, INCLUDING BUT NOT LIMITED TO, LOSS OF GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF HITALK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, ARISING OUT OF: (a) THE USE OR THE INABILITY TO USE THE SERVICE; (b) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES OR TRANSACTIONS RECEIVED THROUGH OR FROM THE SERVICE; (c) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (d) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (e) ANY OTHER MATTER RELATING TO THE SERVICE. IN NO EVENT SHALL HITALK'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID HITALK IN THE LAST SIX (6) MONTHS OR, IF THAT AMOUNT EXCEEDS SUCH AMOUNT, ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. If you are dissatisfied with any portion of the Service, or with these Terms of Service, your sole and exclusive remedy is to discontinue using the Service.

You agree that HiTalk may, in its sole discretion, suspend or terminate your account (or any part thereof) or use of the Services, and remove and discard any content from the Services, for any reason, including, but not limited to, lack of use, or if HiTalk believes that you have violated or acted in violation of the letter or spirit of these Terms of Service. Any suspected fraud, abuse, or illegal activity may be grounds for termination of your Services and may be referred to the appropriate law enforcement agencies. HiTalk may also, in its sole discretion, terminate the provision of the Services, or any part thereof, at any time without notice. You agree that any termination of your access to the Services under any provision of these Terms of Service may be made without notice, and acknowledge and agree that HiTalk may immediately deactivate or delete your account and all related information and files in your account and/or bar further access to such files or Services. In addition, you agree that HiTalk shall not be liable to you or any third party for any termination of your access to the Services.

User Disputes

You agree to take full responsibility for your interactions with any other user in connection with the Service, and HiTalk is not responsible for them. HiTalk reserves the right, but has no obligation, to intervene in any way in disputes between you and any other user of the Service.

These Terms of Service constitute the entire agreement between you and HiTalk and govern your use of the Service, superseding any prior agreements between you and HiTalk regarding the Service.
